End User License Agreement (EULA)
Effective Date: December 22, 2025

This End User License Agreement (“Agreement”) is between you (“User”) and Lasting Media Group, LLC, located at 1718 General George Patton Drive, Brentwood, TN 37027 (“Company”, “we”, “us”, or “our”), and governs your access to and use of the Lasting Media Client Portal (“Portal”).

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your personal or internal business purposes in accordance with this Agreement.

2. Restrictions

You agree not to:

Modify, reverse engineer, or decompile the Portal;

Rent, lease, sublicense, sell, or distribute the Portal;

Use the Portal for unlawful or unauthorized purposes;

Allow third-party access or redistribution of the Portal.

3. Ownership

The Portal and all associated intellectual property rights are owned by Lasting Media Group, LLC. This Agreement does not grant you any ownership rights.

4. Third-Party Services

The Portal may integrate with third-party services, including ClickUp and QuickBooks Online. Your use of those services is subject to their respective terms and policies. We are not responsible for any third-party services.

5. Termination

We may suspend or terminate your access to the Portal at any time, with or without cause. Upon termination, your license will immediately cease.

6. Disclaimers

The Portal is provided “as is” without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Portal.

8. Governing Law

This Agreement shall be governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.
